These Terms of Service ("Terms") govern your access to and use of the TraderGrader website, leaderboard, profiles, reports, integrations, and related services (collectively, the "Service"), operated by [ENTITY NAME] ("TraderGrader," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What TraderGrader Is and Is Not

TraderGrader is a performance tracking and publishing platform. We compile trader performance from public posts and connected brokerage data and publish the results.

TraderGrader is not:

• A broker-dealer, investment adviser, or financial planner
• A trading signal, recommendation, or alert service
• A copy-trading or trade-execution platform
• A party to, counterparty in, or executor of any trade
• A guarantor of any trader's skill, honesty, or future results

TraderGrader never holds, touches, or directs your funds or trades. We do not place, execute, modify, cancel, or route orders, and we have no authority or access to do so. The Service is a data and distribution layer: it tracks and displays reported performance and syndicates the information you choose to the channels you configure. All trading occurs in users' own accounts, at their own brokerages, on their own decisions.

Nothing on the Service constitutes investment, financial, legal, or tax advice. No content on the Service, including leaderboard rankings, reports, profiles, or automated agent responses, is a recommendation to buy, sell, or hold any security or other asset. We are not registered with the U.S. Securities and Exchange Commission, FINRA, the CFTC, the NFA, or any other regulatory body, and we do not act as a fiduciary to any user.

2. Performance Data and Third-Party Comparison

TraderGrader compiles trader performance from publicly posted activity and, where a trader connects a brokerage account, from data received through a third-party aggregator. Where we compare reported or connected activity against third-party data sources, that comparison is a point-in-time check. It is not:

• An endorsement of the trader or their strategy
• A guarantee that the trader's past, present, or future statements are accurate
• A prediction or assurance of future performance
• Continuous monitoring of all of a trader's activity

Figures drawn from publicly posted activity are not confirmed against third-party data and may be incomplete or inaccurate. We rely on third-party data providers and brokerage connections to compile and compare this information. We do not control those sources and make no warranty that they are complete, current, or error-free. We may adjust, suspend, or remove a trader's data or its display at our sole discretion.

3. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. Account creation may be tied to your X (Twitter) handle or other third-party identity. You are responsible for all activity under your account and for keeping your credentials secure. You agree to provide accurate information and to update it as needed. We may suspend or terminate accounts that violate these Terms.

4. Trader Obligations

If you use the Service as a trader, you additionally represent and agree that:

• All performance data, positions, and statements you submit or connect are truthful and yours
• You will not manipulate, falsify, backdate, or selectively report trading activity
• You are solely responsible for all statements you make to your audience on any platform, including statements distributed through TraderGrader tools (automated posting, reports, the Discord bot, and any AI agent)
• You will comply with all laws applicable to you, including securities laws and any licensing or disclosure obligations triggered by your own conduct
• You will not use the Service to solicit investment, sell securities, or provide investment advice unless you are independently licensed and legally permitted to do so

You are the publisher of your own content. TraderGrader provides distribution tools; it does not review, approve, or adopt your statements.

5. Audience and Follower Obligations

If you use the Service to follow or evaluate traders, you acknowledge and agree that:

• You will make your own investment decisions and bear sole responsibility for them
• You will not treat any leaderboard position, statistic, report, or agent response as a recommendation
• Past performance shown on the Service does not indicate or guarantee future results
• You should consult a licensed financial professional before making investment decisions

6. Acceptable Use

You agree not to: misrepresent your identity or performance; scrape, harvest, or republish Service data without written permission; interfere with or attempt to circumvent the Service's data integrity or security systems; reverse engineer the Service; upload malicious code; use the Service for unlawful purposes; or harass other users. We may remove content, suspend or remove a trader's data or display, or terminate access for violations, with or without notice.

7. Third-Party Services

The Service connects to third-party platforms and data providers, including brokerage data aggregators, Discord, and X. Your use of those services is governed by their own terms and privacy policies. TraderGrader is not affiliated with, endorsed by, or sponsored by any brokerage, exchange, Discord, or X, and we are not responsible for their availability, accuracy, acts, or omissions. Brokerage connections established through the Service are read-only data connections; TraderGrader cannot place, modify, or cancel trades in any account.

8. Syndication, Connected Channels, and Automated Outputs

The Service includes tools that distribute content to channels and accounts you connect, including Discord servers and X accounts ("Connected Channels"). By connecting an account or channel and configuring routing, you:

• Authorize TraderGrader to transmit content to that Connected Channel on your instruction and under your identity
• Acknowledge that all content distributed to a Connected Channel is your own statement, published by you through your own account, and that TraderGrader does not speak for, represent, or act as an agent of you or your accounts
• Accept sole responsibility for your routing configuration, including which accounts, servers, channels, and tags receive which content
• Accept sole responsibility for content appearing in your Connected Channels as a result of your configuration, including content you later consider unwanted, mistimed, misdirected, or inaccurate

TraderGrader is a distribution conduit. We do not review, edit, approve, or adopt content transmitted through the Service. Automated transmission can fail, duplicate, delay, or misroute. To the maximum extent permitted by law, TraderGrader is not liable for any posting, routing, formatting, timing, delivery, or omission error in connection with Connected Channels, and any claim relating to such errors is subject to Sections 10 and 11. You may disconnect any Connected Channel at any time; disconnection stops future transmissions but does not remove content already published.

Certain features also generate content automatically, including auto-posted updates, generated reports, and AI agent responses. Automated outputs may contain errors, delays, or omissions. We do not guarantee the accuracy, completeness, or timeliness of any automated output, and no automated output constitutes advice or a recommendation.

9. Intellectual Property and License

The Service, including its software, design, branding, and aggregated data, is owned by [ENTITY NAME] or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose. By submitting or connecting content to the Service, you grant TraderGrader a worldwide, non-exclusive, royalty-free license to host, process, display, and distribute that content as needed to operate and promote the Service. You retain ownership of your content and your audience relationships.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY DATA, STATISTIC, RANKING, REPORT, OR OUTPUT IS ACCURATE, COMPLETE, OR CURRENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADERGRADER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY TRADING LOSSES, LOST PROFITS, LOST DATA, OR LOST GOODWILL, ARISING FROM OR RELATED TO THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless TraderGrader and its officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your content, statements, or trading activity; (b) your use or misuse of the Service; (c) your violation of these Terms; (d) your violation of any law or third-party right, including securities laws; or (e) any dispute between you and another user, including disputes between traders and their followers or audiences.

13. Dispute Resolution; Arbitration; Class Action Waiver

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court. YOU AND TRADERGRADER WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. You may opt out of this arbitration provision by emailing support@tradergrader.com within 30 days of first accepting these Terms.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without cause or notice. Sections that by their nature should survive termination (including Sections 2, 10, 11, 12, 13, and 15) survive.

15. General

These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-laws principles. If any provision is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. These Terms are the entire agreement between you and TraderGrader regarding the Service. We may update these Terms; material changes will be posted with a new effective date, and continued use after changes constitutes acceptance.

Not Investment Advice

Nothing on TraderGrader is investment, financial, legal, or tax advice. Leaderboards, statistics, reports, profiles, automated posts, and AI agent responses are informational only. No content on the Service is an offer, solicitation, or recommendation to buy or sell any security, option, future, cryptocurrency, or other instrument.

No Trade Execution; Distribution Only

TraderGrader does not execute, place, route, or transmit trades, does not hold customer funds or securities, and has no access or authority to do any of those things. Brokerage connections are read-only. All trading occurs in users' own accounts, at their own brokerages, on their own decisions. Content distributed through TraderGrader tools to a user's Discord or X is published by that user, under that user's identity, according to that user's configuration. It is not a statement by TraderGrader.

Trading Risk

Trading involves substantial risk of loss and is not suitable for everyone. You can lose some or all of your invested capital. Options and leveraged products carry heightened risk, including the potential for losses exceeding your initial investment. Never trade money you cannot afford to lose. Consult a licensed financial professional before making investment decisions.

Past Performance

Past performance is not indicative of future results. A trader's history, win rate, ROI, ranking, or any other statistic shown on the Service does not predict or guarantee future performance.

Data Limits

Performance shown on TraderGrader is compiled from public posts and, where a trader connects one, brokerage data. Any comparison against third-party data reflects a point-in-time check, not continuous auditing and not an endorsement. Data sources may contain errors, gaps, or delays. We do not guarantee that any trader's figures or statements are accurate. Figures drawn from public posts are not confirmed against third-party data.

Trader Statements

Traders on TraderGrader are independent third parties. Their statements, strategies, and conduct, on or off the Service, are their own. TraderGrader does not review, endorse, or adopt any trader's statements and is not responsible for any loss arising from reliance on them.

Hypothetical and Calculated Figures

Certain displayed figures (including ROI percentages, rankings, and aggregated statistics) are calculations derived from underlying data and methodology choices. Different methodologies produce different results. Calculated figures do not represent actual returns any follower would have achieved.

No Affiliation

TraderGrader is not affiliated with, endorsed by, or sponsored by any brokerage, exchange, data provider, Discord, or X. All trademarks belong to their respective owners.

This Privacy Policy explains how [ENTITY NAME] ("TraderGrader," "we," "us") collects, uses, and shares information when you use the Service.

1. Information We Collect

Account information. Name, email address, and the X handle or other identity used to create your account.

Brokerage-linked data. If you connect a brokerage account, we receive read-only trading data (positions, transactions, balances relevant to performance calculation) through a third-party data aggregator. We do not receive or store your brokerage login credentials. We cannot access funds or place trades.

Public trading content. Positions and statements you post publicly on X, Discord, or the Service, which we may collect to track and display performance.

Usage data. Device information, IP address, pages viewed, and interactions with the Service, collected through cookies and similar technologies.

Communications. Messages you send us, including through the contact form.

2. How We Use Information

We use information to: operate the Service, including leaderboards, profiles, reports, and integrations; display trader performance publicly where you have chosen a public presence; communicate with you about the Service; improve and secure the Service; and comply with legal obligations.

3. What Is Public

TraderGrader is a public performance platform. If you participate as a tracked trader, your handle, ranking, and performance statistics are displayed publicly. Do not connect data you are unwilling to have reflected in public performance figures. Followers' accounts are not publicly displayed unless they choose a public trader presence.

4. How We Share Information

We share information with: service providers who help us operate the Service (hosting, analytics, data aggregation, email), bound by confidentiality obligations; integration platforms you direct us to publish to (Discord, X); law enforcement or regulators when required by law or to protect rights, safety, or the integrity of the Service; and a successor entity in a merger, acquisition, or asset sale. We do not sell your personal information.

5. Data Retention

We retain information for as long as needed to operate the Service and meet legal obligations. Public performance histories may be retained to preserve leaderboard integrity. You may request deletion of your account data, subject to data we are required or permitted to retain.

6. Security

We use commercially reasonable technical and organizational measures to protect information. No system is perfectly secure, and we cannot guarantee absolute security.

7. Your Rights

Depending on where you live, you may have rights to access, correct, delete, or port your personal information, or to object to or restrict certain processing. To exercise these rights, contact support@tradergrader.com. We will respond as required by applicable law. We do not discriminate against users who exercise privacy rights.

8. Cookies

We use cookies and similar technologies for authentication, preferences, and analytics. You can control cookies through your browser settings; some features may not function without them.

9. Children

The Service is not directed to anyone under 18, and we do not knowingly collect information from anyone under 18. If you believe a minor has provided us information, contact support@tradergrader.com and we will delete it.

10. Changes

We may update this Privacy Policy. Material changes will be posted with a new effective date. Continued use after changes constitutes acceptance.
